Terms of Service CONCEPT

1. About SyncEngine
SyncEngine is a fair-code data synchronization and automation platform designed to connect APIs, databases, services, and other systems.
SyncEngine provides:
- Self-hosted SyncEngine software;
- Documentation and community resources;
- Demo and evaluation environments;
- Implementation, integration, and technical services;
- Managed SyncEngine deployments and hosting services, where agreed;
- Commercial licensing and enterprise services, where applicable.
The availability and nature of specific services may vary. Some services may be provided as individual projects or client engagements rather than as an automatically provisioned or standardized subscription service.
2. SyncEngine Software and Licensing
The SyncEngine software is distributed under the SyncEngine license published with the project.
Your rights to use, modify, copy, and distribute the SyncEngine software are determined by that license. These Terms of Service do not replace, modify, or grant rights beyond the applicable software license.
The SyncEngine software may be used for self-hosted installations and other purposes permitted by the applicable license. Additional commercial licensing may be available where required or where additional rights or services are desired.
The applicable license is available in the SyncEngine source repository.
3. Self-Hosted SyncEngine
When you install and operate SyncEngine on infrastructure that you control, you are responsible for the operation and security of that installation.
This includes, where applicable:
- Hosting and infrastructure;
- Network and firewall configuration;
- Authentication and access control;
- API keys, credentials, and other secrets;
- Backups and data retention;
- Keeping the installation and its dependencies appropriately maintained;
- Configuring integrations and automation workflows correctly;
- Ensuring that your use of SyncEngine complies with applicable laws and third-party terms.
SyncEngine does not operate or control your self-hosted environment.
4. Managed and Project-Based Services
SyncEngine may provide managed hosting, implementation, integration, configuration, maintenance, or other technical services.
Managed services may be provided as a project or client engagement and are not necessarily offered as a standardized, automatically provisioned SaaS subscription.
Where we provide a managed SyncEngine environment, the scope of the service, infrastructure, pricing, support, availability, maintenance, data handling, and other applicable terms may be agreed separately with the customer.
Where a separate agreement applies, that agreement takes precedence over these Terms to the extent of any conflict.
We may also provide custom implementations or integrations based on a customer's requirements. Such work may be subject to separate proposals, statements of work, quotations, or other agreements.
5. Demo and Evaluation Environments
We may provide temporary SyncEngine environments for demonstration, evaluation, development, or testing purposes.
Demo environments:
- Are provided for evaluation purposes only;
- May have limited functionality or availability;
- May be subject to time or usage limits;
- May be modified, reset, suspended, or deleted without notice;
- Are not intended to be relied upon as production environments.
You should not use a demo environment to process data for which loss, disclosure, corruption, or unavailability could cause significant harm.
Unless otherwise agreed, we do not guarantee the preservation, availability, or recovery of data stored in a demo environment.
6. Data and Privacy
SyncEngine is designed to allow customers to maintain control over the data processed through the platform.
Self-hosted installations
With a self-hosted installation, SyncEngine does not require your synchronization data to be sent to SyncEngine's infrastructure. The data processed by your installation remains within the environment in which you operate SyncEngine, subject to the configuration of your own integrations and external services.
You are responsible for determining what data you process and for ensuring that your use of that data complies with applicable privacy and data protection laws.
Managed environments
When SyncEngine operates or manages an environment on your behalf, data processed through that environment may be processed within the infrastructure used to provide the service.
The specific data processing arrangements for managed services depend on the project and services provided. Where applicable, additional contractual terms, including a Data Processing Agreement, may apply.
Our processing of personal information relating to website visitors, customers, and service requests is described in our Privacy Policy.
7. Customer Data and Integrations
You retain all rights and interests in the data that you process using SyncEngine.
You are responsible for ensuring that you have the necessary rights, permissions, and legal basis to process that data and to connect the relevant systems.
You are also responsible for:
- The accuracy and appropriateness of synchronization and automation rules;
- The systems and accounts to which SyncEngine is connected;
- The permissions granted to SyncEngine;
- The credentials and secrets used by integrations;
- The consequences of actions performed by configured automations.
SyncEngine is an automation and synchronization platform. It executes workflows and actions according to their configuration. You are responsible for reviewing and validating configurations before using them in production.
8. Third-Party Services
SyncEngine can integrate with third-party services, APIs, databases, storage systems, and other external systems.
Your use of third-party services remains subject to the terms, conditions, availability, and policies of those third parties.
SyncEngine does not control third-party services and is not responsible for changes to, interruptions of, or failures in those services.
A third-party service becoming unavailable, changing its API, imposing new restrictions, or otherwise changing its functionality may affect an integration built with SyncEngine.
9. User Responsibilities
When using SyncEngine or our services, you agree to:
- Comply with all applicable laws and regulations;
- Use SyncEngine only for lawful purposes;
- Respect the intellectual property and other rights of SyncEngine and third parties;
- Keep credentials and access information secure;
- Not intentionally compromise or interfere with the security, availability, or operation of SyncEngine infrastructure;
- Not use SyncEngine to distribute malware or conduct attacks against systems or services;
- Ensure that you have the necessary authorization to access and synchronize data from connected systems;
- Configure and use automations responsibly.
You must not use SyncEngine in a manner that could reasonably be expected to cause significant harm to our infrastructure, other users, connected systems, or third parties.
10. Intellectual Property
SyncEngine, including its name, branding, website, documentation, and software, is protected by applicable intellectual property laws.
Except for rights expressly granted under the applicable SyncEngine software license or a separate agreement with us, all rights are reserved by SyncEngine.
Nothing in these Terms transfers ownership of SyncEngine intellectual property to you.
You retain ownership of data and other materials that you provide to us, except for rights that you separately grant to us as necessary to provide the requested services.
11. Community Contributions
Contributions to the SyncEngine project are governed by the contribution and licensing terms applicable to the project at the time of contribution.
Where the project requires a Contributor License Agreement or other contributor terms, contributors must agree to those terms before their contributions can be accepted.
Submitting a contribution does not guarantee that the contribution will be accepted or included in SyncEngine.
12. Availability and Support
The availability of SyncEngine depends on how it is provided.
Self-hosted installations are operated by the customer and do not carry any availability guarantee from SyncEngine unless separately agreed.
Demo environments are provided on an evaluation basis and may be unavailable or interrupted.
For managed or project-based services, support, maintenance, availability, response times, and other service commitments may be agreed separately as part of the applicable project or service agreement.
Unless expressly agreed otherwise, we do not guarantee that SyncEngine or any associated service will be uninterrupted, available at all times, or free from errors.
13. Disclaimer of Warranties
To the maximum extent permitted by applicable law, SyncEngine and its services are provided on an "as is" and "as available" basis.
We do not warrant that:
- SyncEngine will meet every particular requirement;
- SyncEngine will operate without interruption or errors;
- Every integration or third-party service will remain compatible;
- The software or services will be free from vulnerabilities or security issues; or
- Data or configurations will never be lost or corrupted.
You are responsible for determining whether SyncEngine is suitable for your intended use and for maintaining appropriate backups and safeguards.
Nothing in these Terms excludes or limits any warranty, right, or remedy that cannot lawfully be excluded or limited.
14. Limitation of Liability
To the maximum extent permitted by applicable law, SyncEngine will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or relating to the use of SyncEngine or our services.
This may include, without limitation, loss of profits, loss of revenue, loss of business opportunities, business interruption, or loss of data.
This limitation does not apply to liability that cannot legally be excluded or limited under applicable law.
For managed or project-based services, any additional liability limitations or contractual arrangements may be agreed separately with the customer.
15. Suspension and Termination
We may suspend access to a service or environment where reasonably necessary to:
- Protect the security or availability of our infrastructure;
- Prevent unlawful or abusive activity;
- Protect SyncEngine, our customers, or third parties;
- Address a serious violation of these Terms; or
- Comply with applicable law.
Where reasonably possible, we will provide notice before suspension. Immediate suspension may be necessary where prior notice could increase the risk of harm or security compromise.
For managed or project-based services, termination and suspension rights may be governed by the applicable project or service agreement.
Upon termination of a managed service, the handling, export, retention, and deletion of customer data will be determined by the applicable agreement and applicable legal requirements.
16. Changes to These Terms
We may update these Terms from time to time.
When we make material changes, we will update the date at the top of this page and, where appropriate, provide additional notice.
Your continued use of our website or services after updated Terms become effective constitutes acceptance of the updated Terms.
Changes to the SyncEngine software license are governed by the applicable license and are not made through these Terms.
17. Governing Law
These Terms are governed by the laws of the Netherlands, without regard to its conflict-of-law principles.
Any disputes arising from or relating to these Terms shall be submitted to the competent courts in the Netherlands, unless applicable mandatory law provides otherwise.
